End User License Agreement (EULA)

Important: Please Read Carefully

These terms and conditions, together with any referenced documents (including Product Specific EULAs, Maintenance and Support Agreements, and Open Source Software listings available at www.astrogate.com), constitute a binding legal agreement between you and Astrogate Inc. By checking the "I accept this License Agreement" box, or by downloading, installing, or using the Software or Products, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you are acting on behalf of an entity, you warrant that you have the legal authority to bind such entity to these terms.

1. Definitions

• "Astrogate," "we," "us," or "our": Refers to Astrogate Inc., located at 11F-6, No. 120, Qiaohe Rd., Zhonghe Dist., New Taipei City 235, Taiwan.

• "You" or "Your": Refers to the individual or legal entity accessing or using the Software.

• "Software": Refers to the software, applications (Apps), or firmware provided by Astrogate for use on computers, mobile devices, or other hardware.

• "Products": Refers to the hardware or integrated solutions provided by Astrogate. 

2. License Grant and Restrictions

2.1 License Grant: Subject to your compliance with this EULA and payment of applicable fees, Astrogate grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Software and Product for your internal business or personal purposes.

2.2 Restrictions: You shall not, and shall not permit any third party to:

• • (a) Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software;

  • (b) Modify, adapt, translate, or create derivative works based upon the Software;

  • (c) Rent, lease, loan, resell, or distribute the Software to any third party;

  • (d) Remove or alter any proprietary notices, labels, or trademarks of Astrogate;

  • (e) Use the Software in violation of any applicable laws or regulations.

3. Intellectual Property Rights

3.1 Ownership: The Software and Products are licensed, not sold. Astrogate and its third-party suppliers retain all rights, titles, and interests in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights.

3.2 Protection: The Software is protected by the intellectual property laws of Taiwan (R.O.C.) and international treaty provisions. Any unauthorized reproduction or distribution is strictly prohibited.

4. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, Astrogate disclaims all warranties, whether express, implied, or statutory, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose.

• Warranties of non-infringement.

• Any warranty that the Software will be uninterrupted, error-free, or compatible with all hardware/software configurations.

Your use of the Software is at your sole risk. You are responsible for any costs associated with data loss, repair, or damage resulting from your use of the Software.

5. Compliance and Indemnification

5.1 Lawful Use: You agree to use the Software only for lawful purposes and in compliance with all local and international laws.

5.2 Enforcement: In the event of a breach, Astrogate reserves the right to:

• • (a) Terminate or suspend your license immediately;

  • (b) Issue a formal warning;

  • (c) Pursue legal proceedings for damages;

  • (d) Disclose information to law enforcement as required by law.

  
  

  5.3 Indemnity: You agree to indemnify and hold Astrogate harmless from any claims, losses, or expenses (including legal fees) arising out of your breach of this EULA or misuse of the Software.

6. Limitation of Liability

6.1 Direct Damages: To the maximum extent permitted by law, Astrogate’s total aggregate liability for all claims shall be limited to the actual amount paid by you for the Software license.

6.2 Indirect Damages: In no event shall Astrogate be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, revenue, or business interruption, even if advised of the possibility of such damages.

7. Data Protection and Technical Info

7.1 Privacy: You are responsible for complying with applicable data protection laws (e.g., GDPR) when using our Software to process personal data.

7.2 Technical Data: You agree that Astrogate may collect and process technical information (e.g., usage statistics, device diagnostics) to improve our products and services. All derived insights and improvements remain the exclusive property of Astrogate.

8. Open Source Software

The Software may contain Open Source Software (OSS) governed by their respective licenses. In the event of a conflict between this EULA and an OSS license, the OSS license shall prevail regarding those specific components. A list of OSS is available at OSS Listing.

9. Term and Termination

This License is effective until terminated. Your rights under this License will terminate automatically if you fail to comply with any term. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law and Jurisdiction

This EULA is governed by the laws of Taiwan, Republic of China. Any disputes shall be submitted to the exclusive jurisdiction of the Taiwan New Taipei District Court. The UN Convention on Contracts for the International Sale of Goods is explicitly excluded.
